Terms of Service

These Terms of Service ("Terms") govern access to and use of ListPrep (the "Service"), operated by ListPrep ("ListPrep," "we," "us," or "our"). By creating an account, accepting an invite to an organization, or otherwise using the Service, you agree to these Terms on behalf of yourself and, where applicable, the brokerage or organization you represent. If you do not agree, do not use the Service.

1. The Service

ListPrep is a listing-preparation platform for real estate brokerages. It lets agents work through checklists to prepare a property for market, gives sellers a branded, link-based page to track preparation progress without creating an account, and gives brokerage leadership visibility into checklist progress across locations.

ListPrep is provided on a business-to-business basis. Access is not self-service — organizations, locations, and initial administrator accounts are set up directly by our team, and administrators then invite agents and managers within their organization.

2. Accounts and Roles

Access to the Service requires an account created either by our team or by invite link from an existing administrator within your organization. Accounts are assigned one of several roles (such as organization admin, location manager, or agent) that determine what data within the organization you can see and change. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Organization administrators are responsible for the accuracy of the roles and permissions they assign to members of their organization, and for removing access for anyone who should no longer have it (e.g., a former employee).

3. Seller Share Links

Agents may generate a branded, token-based link that gives a home seller read access to the preparation progress of their listing without creating an account. Anyone with that link can view the associated checklist progress, so agents and organizations are responsible for sharing these links only with the intended seller and for treating them as sensitive. ListPrep is not responsible for access resulting from a share link being forwarded or exposed by a user of the Service.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable real estate, fair-housing, or consumer-protection law;
• Upload content you do not have the right to share, or that infringes another party's intellectual property or privacy rights;
• Attempt to access another organization's data, bypass access controls, or probe, scan, or test the Service's security;
• Interfere with or disrupt the integrity or performance of the Service, including through automated scraping or excessive requests;
• Use the Service to transmit malicious code or attempt unauthorized access to any system.

5. Your Content

"Content" means the listing details, checklist items, notes, and photos that your organization creates or uploads in the Service. As between you and ListPrep, your organization retains ownership of its Content. You grant ListPrep a limited license to host, store, process, and display that Content solely to provide and support the Service, including sharing the relevant portions with sellers through the share-link feature described above.

Some parts of the Service use artificial intelligence (currently, the Anthropic API) to help structure free-text or transcribed descriptions of a walkthrough into checklist items. Suggestions from this feature are a starting point — you review and edit them before they're saved, and you're responsible for the accuracy of the checklist items you save.

6. Fees and Billing

Pricing and billing for the Service are arranged directly with our team rather than through automated self-service checkout. Fees, billing frequency, and payment terms are as agreed in your organization's order form or agreement with us. We may suspend access for accounts with unresolved, overdue payment after reasonable notice.

7. Third-Party Services

The Service relies on third-party infrastructure providers to operate, including Supabase (database, authentication, and file storage) and Anthropic (for the AI-assisted checklist feature described above). Use of the Service is also subject to those providers processing data as described in our Privacy Policy.

8. Termination

We may suspend or terminate access to the Service for any account or organization that violates these Terms, poses a security risk, or as otherwise agreed in your organization's agreement with us. Organization administrators may request termination of their organization's access by contacting us. Upon termination, your right to use the Service ends; provisions of these Terms that by their nature should survive (including Sections 5, 9, 10, and 11) will survive.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free. ListPrep is a checklist and coordination tool — it does not provide real estate, legal, or brokerage compliance advice, and your organization remains responsible for its own compliance with applicable real estate and consumer-protection laws.

10. Limitation of Liability

To the fullest extent permitted by law, ListPrep and its officers, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total liability for any claim arising out of or relating to these Terms or the Service will not exceed the amount your organization paid us for the Service in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold ListPrep harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your Content, your violation of these Terms, or your violation of any law or the rights of a third party.

12. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Georgia, and you consent to the jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, notify organization administrators. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
